    These Terms and Conditions govern your use of the Humanity In Business Solutions Ltd website and the HIBS assessment platform. By accessing either property or purchasing any product or service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.

    1. Definitions

    In these Terms and Conditions the following definitions apply:

    "HIBS" / "we" / "us"Humanity In Business Solutions Ltd, incorporated in Bulgaria, operating from Sofia, Bulgaria.
    "Platform"The HIBS assessment platform accessible at intelligence.humanityinbusiness.com.
    "Website"The marketing website at humanityinbusiness.com.
    "Assessment"A governance maturity self-assessment completed by a User on the Platform across one or more domains.
    "Report"An AI-generated governance maturity report produced by the Platform from a User's Assessment responses.
    "User" / "you"Any individual or organisation accessing the Website or Platform, or purchasing a product or service from HIBS.
    "Content"All text, data, reports, findings, recommendations, benchmarks, and other materials produced by or accessible through the Platform.
    "Self-Assessment Data"The responses, scores, and answers provided by a User when completing an Assessment.

    2. Scope and acceptance

    These Terms apply to your use of the Website and the Platform, and to all transactions for products and services offered by HIBS. By accessing either property, registering an account, or completing a purchase, you agree to these Terms in full.

    Where you accept these Terms on behalf of a company, partnership, or other legal entity, you represent and warrant that you have authority to bind that entity. References to "you" in these Terms include that entity.

    These Terms should be read alongside our Privacy Policy and Cookie Policy, both available at humanityinbusiness.com. In the event of conflict between these Terms and any additional written agreement between you and HIBS, the additional written agreement will prevail.

    3. The HIBS assessment platform

    3.1 What the platform provides

    The HIBS assessment platform delivers self-serve governance maturity assessments across multiple frameworks. Users complete an assessment and receive a report based on their self-assessed responses. Reports are generated using AI (the Anthropic Claude API) and are informed by HIBS's certified audit methodology framework.

    The platform currently offers assessments across the multiple frameworks which are updated and enhanced consistently.

    3.2 Nature of reports

    All reports produced by the Platform are based entirely on Self-Assessment Data provided by the User. HIBS does not independently verify, audit, or validate any User-provided responses. Reports reflect the User's own self-assessed position and are intended to inform internal governance discussions and prioritisation.

    Important — nature of platform output

    Reports generated by the HIBS assessment platform are not audit opinions, compliance certifications, legal determinations, or regulated financial assessments. They are governance intelligence tools based on self-assessment methodology. They should not be presented to regulators, courts, counterparties, or investors as evidence of compliance or certification without independent validation. See Section 9 for the full independence and liability statement.

    3.3 AI-generated content

    Reports are generated using the Anthropic Claude API. AI-generated content is produced within the boundaries of HIBS's certified audit methodology framework and is reviewed for structural consistency. However, AI-generated content may contain errors or omissions. Users are responsible for reviewing all report content before acting on it or sharing it with third parties.

    By using the Platform and generating a report, you acknowledge that your Self-Assessment Data will be transmitted to the Anthropic API for processing. Anthropic does not use API data to train its models. See our Privacy Policy for full details.

    4. Products, pricing, and payment

    4.1 Available products

    Current pricing for each product is displayed at the point of purchase.

    4.2 Payment

    Payments are processed by Stripe Inc. All prices are stated in US Dollars (USD) exclusive of any applicable taxes. You are responsible for any taxes applicable in your jurisdiction. HIBS does not store payment card details. Payment is required in full before a paid report is generated.

    By completing a purchase you confirm that you are authorised to use the payment method provided and that the payment information is accurate and complete.

    4.3 Report delivery

    Upon successful payment, your assessment will be unlocked for completion and your report will be generated automatically upon submission. Reports are delivered digitally through your platform account. You will receive an email notification when your report is ready.

    Report generation typically completes within 60 seconds of submission. In the event of a technical failure, your payment will not be forfeited — contact us at support@humanityinbusiness.com and we will resolve the issue within one working day.

    4.4 Refund policy

    Because reports are generated digitally and delivered immediately upon completion of an assessment, they constitute digital content delivered with your explicit consent prior to the expiry of any statutory cancellation period. By proceeding with report generation after payment, you acknowledge and agree that:

    • You are requesting immediate delivery of digital content.
    • You waive any statutory right of withdrawal or cancellation that would otherwise apply under the UK Consumer Rights Act 2015 or EU Consumer Rights Directive once report generation has commenced.

    Refunds will be considered at HIBS's discretion in the following circumstances only:

    • Technical failure prevents report delivery and cannot be resolved within 3 working days.
    • The report contains a material error attributable to a platform defect rather than User-provided data.

    Refund requests must be submitted to support@humanityinbusiness.com within 14 days of purchase. We will respond within 5 working days.

    5. User accounts and access

    5.1 Registration

    To access the Platform you must register an account. You agree to provide accurate, current, and complete information at registration and to keep your account information updated. You must be at least 18 years of age to register an account or use the Platform.

    5.2 Account security

    You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@humanityinbusiness.com if you become aware of any unauthorised use of your account.

    5.3 Multi-user access

    You may not share your account credentials with third parties or allow multiple users to access the Platform under a single account. Enterprise or multi-user licensing is available on request.

    5.4 Suspension

    We reserve the right to suspend or terminate accounts that are used in breach of these Terms, that present a security risk, or where payment obligations have not been met.

    6. Acceptable Use Policy

    6.1 Purpose

    This Acceptable Use Policy ("AUP") governs your use of the Humanity in Business Solutions assessment platform platform ("Platform"). By accessing or using the Platform, you agree to comply with this AUP alongside our Terms of Service and Privacy Policy.

    6.2 Permitted Use

    The Platform is provided for legitimate governance, risk, and compliance purposes. You may:

    • Complete self-assessments for your organisation or on behalf of a client with their authorisation
    • Generate reports for internal governance review and board reporting purposes
    • Use compliance framework reference materials for educational and implementation guidance
    • Perform cross-framework gap analysis to inform your compliance strategy
    • Download purchased toolkits and checklists for your organisation's use

    6.3 Prohibited Conduct

    You must not:

    • Use the Platform to generate fraudulent or misleading compliance documentation
    • Represent AI-generated reports as independent audits, formal certifications, or professional assurance opinions
    • Attempt to manipulate assessment scores or fabricate governance maturity results
    • Scrape, crawl, or systematically download Platform content for redistribution or commercial resale
    • Reverse-engineer the AI report generation engine or attempt to extract training data
    • Submit false, misleading, or malicious data through assessment forms or lead capture fields
    • Use the Platform to circumvent or misrepresent compliance with any law, regulation, or standard
    • Share login credentials or attempt to access administrative functions without authorisation
    • Introduce malicious code, exploit vulnerabilities, or attempt to disrupt Platform operations

    6.4 AI-Generated Content

    Reports generated by the Platform use artificial intelligence to provide contextualised governance insights. You acknowledge that:

    • AI-generated content is based on your self-reported assessment responses and does not constitute professional advice
    • Reports have not been independently validated or audited by Humanity in Business Solutions or any third party
    • AI outputs may contain limitations despite our three-layer sanitisation architecture
    • Reports should not be relied upon as a substitute for professional audit, legal counsel, or formal compliance assessment

    6.5 Data and Privacy

    Your use of the Platform is subject to our Privacy Policy. You are responsible for ensuring you have appropriate authority to submit data on behalf of your organisation. Do not submit personally identifiable information of third parties without their consent.

    6.6 Intellectual Property

    All assessment methodologies, framework reference materials, report templates, and Platform content are the intellectual property of Humanity in Business Solutions Ltd. Purchased toolkits are licensed for your organisation's internal use only and may not be redistributed, resold, or sublicensed without written permission.

    6.7 Enforcement

    Violation of this AUP may result in immediate suspension or termination of access to the Platform, forfeiture of purchased content, and any other remedies available under applicable law. We reserve the right to investigate suspected violations and cooperate with law enforcement where appropriate.

    Misuse of reports

    Presenting a HIBS report to a regulator, investor, counterparty, or court as evidence of audit certification, regulatory compliance, or independent assessment — without disclosing that it is a self-assessment tool — constitutes a misrepresentation. HIBS accepts no liability for consequences arising from such misuse. See Section 9.

    7. Intellectual property

    7.1 HIBS intellectual property

    HIBS owns all intellectual property rights in the Platform, the Website, the assessment frameworks, question sets, scoring methodology, domain knowledge structure, report templates, and all Content generated by the Platform. Nothing in these Terms grants you any licence or right to use HIBS intellectual property except as expressly permitted.

    7.2 Your reports

    Upon payment of the applicable fee, HIBS grants you a non-exclusive, non-transferable licence to use your purchased Report for your own internal governance, risk management, and compliance purposes. You may share your Report internally within your organisation and with professional advisors engaged to provide services to your organisation.

    You may not publish, distribute, resell, or disclose Report content to third parties (other than professional advisors) without HIBS's prior written consent. Free summary reports are licensed for personal use only and may not be shared externally.

    7.3 Self-Assessment Data

    You retain ownership of your Self-Assessment Data. By submitting Self-Assessment Data to the Platform you grant HIBS a limited licence to process that data for the purpose of generating your Report, delivering support, conducting quality assurance, and improving the Platform. Authorised HIBS personnel may access your Self-Assessment Data and generated Reports for these purposes. Such access is limited to what is reasonably necessary and is subject to internal confidentiality obligations. Your assessment data will not be shared, sold to, or divulged to any third parties and HIBS will make all reasonable efforts to keep your data private and confidential.

    7.4 Feedback and suggestions

    If you provide feedback, suggestions, or ideas about the Platform, you grant HIBS a worldwide, irrevocable, royalty-free licence to use that feedback without restriction or compensation to you. Do not submit feedback that you consider to be your confidential intellectual property without first agreeing confidentiality terms with us.

    8. Data protection and privacy

    Our collection and use of personal data is governed by our Privacy Policy, available at humanityinbusiness.com/privacy. By using the Platform you acknowledge that you have read and understood the Privacy Policy.

    Where you submit Self-Assessment Data that relates to your organisation rather than to individuals, that data is not personal data for the purposes of UK GDPR or EU GDPR. Where assessment responses include information that could identify individuals (for example, statements about named employees or specific control failures), you are responsible for ensuring you have appropriate authority and legal basis to submit that information.

    HIBS processes personal data in accordance with UK GDPR and, where applicable to EEA users, EU GDPR. Our registered address is in Bulgaria and we are subject to supervision by the Commission for Personal Data Protection of Bulgaria.

    9. Independence statement and limitation of liability

    9.1 Independence statement

    Humanity In Business Solutions Ltd is an independent governance intelligence firm. We provide governance maturity assessments, advisory services, and AI-generated reporting tools for boards, executives, and professional practitioners.

    We do not act as legal counsel. Nothing published on this Website or generated by the HIBS platform constitutes legal advice. We do not provide regulated financial advice and are not authorised or regulated by the Financial Conduct Authority or any equivalent regulatory body in any jurisdiction.

    Reports and assessments produced by the HIBS assessment platform are based on self-assessment data provided by the User and are generated using certified audit methodology frameworks. They are intended to inform governance decisions and internal prioritisation. They do not constitute a formal audit opinion, a legal compliance determination, a regulatory certification, or a regulated financial assessment.

    For independent legal, financial, or regulatory advice, please consult a qualified practitioner authorised to provide such services in your jurisdiction.

    9.2 Disclaimer of warranties

    The Platform and all Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, HIBS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.

    HIBS does not warrant that:

    • The Platform will be available on an uninterrupted, timely, or error-free basis.
    • Reports will be free from errors, omissions, or inaccuracies arising from AI generation.
    • Benchmark data cited in reports will be current, complete, or applicable to your specific sector or geography.
    • Acting on report findings will result in improved governance outcomes or regulatory compliance.

    9.3 Limitation of liability

    To the fullest extent permitted by applicable law, HIBS's total aggregate liability to you for all claims arising out of or related to these Terms, the Website, the Platform, or any product or service, regardless of the form of action, shall not exceed the greater of:

    • The total fees paid by you to HIBS in the twelve months preceding the claim; or
    • USD $500.

    HIBS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business opportunity, or reputational harm, even if advised of the possibility of such damages.

    Nothing in these Terms limits or excludes HIBS's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

    9.4 Insurance

    HIBS maintains active Financial Loss Insurance, General Liability Insurance (including product liability), and First-Party Cyber and Data Risks Insurance. Details of coverage are available on request and disclosed on our Impressum page.

    9.5 Indemnification

    You agree to indemnify, defend, and hold harmless HIBS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

    • Your breach of these Terms.
    • Your misuse of the Platform or any Report.
    • Your submission of false or misleading Self-Assessment Data.
    • Your violation of any applicable law or third-party rights.

    10. Third-party services

    The Platform relies on the following third-party services to operate: Supabase (database), Anthropic (AI report generation), Stripe (payment processing), and Resend (email delivery). HIBS is not responsible for the availability, accuracy, or performance of these third-party services beyond our reasonable control.

    The Website and Platform may contain links to third-party websites. These links are provided for convenience only. HIBS does not endorse, control, or accept responsibility for the content of third-party websites. You access third-party sites at your own risk.

    10A. Confidentiality

    Each party agrees to treat as confidential all information received from the other party that is designated as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure ("Confidential Information"). Your Self-Assessment Data and generated Reports are your Confidential Information.

    Confidential Information may only be disclosed: (a) to employees, contractors, or agents who need to know it and who are bound by confidentiality obligations at least as protective as those in these Terms; (b) where required by law, regulation, or court order — in which case the disclosing party will, where legally permitted, provide prior notice; or (c) with the prior written consent of the other party.

    Confidentiality obligations do not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was already known to the receiving party without restriction; (iii) is independently developed without reference to the other party's Confidential Information; or (iv) is received from a third party without restriction.

    10B. Force majeure

    Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the affected party's reasonable control, including but not limited to: natural disasters, epidemics, government actions, sanctions, embargoes, power or telecommunications failures, cyberattacks, denial-of-service attacks, or the failure of third-party service providers. The affected party shall use reasonable efforts to mitigate the impact and shall resume performance as soon as practicable. If a force majeure event continues for more than 60 days, either party may terminate these Terms by written notice.

    11. Suspension and termination

    HIBS may suspend or terminate your access to the Platform at any time where:

    • You breach these Terms and the breach is not remedied within 7 days of written notice.
    • You engage in fraudulent, abusive, or unlawful conduct.
    • You fail to pay amounts due.
    • Continued access presents a security or legal risk to HIBS or other users.

    Upon termination, your right to access the Platform ceases immediately. Purchased reports stored in your account will remain accessible for 30 days following termination, after which they will be deleted. HIBS is not obliged to refund fees paid prior to termination for cause.

    You may close your account at any time by contacting support@humanityinbusiness.com. We will process account closure within 5 working days and delete your data in accordance with our Privacy Policy retention schedule.

    12. Changes to these Terms

    HIBS may update these Terms from time to time to reflect changes in the Platform, applicable law, or our business operations. We will provide registered users with at least 14 days' written notice of material changes by email before they take effect.

    Your continued use of the Platform after updated Terms take effect constitutes acceptance of the revised Terms. If you do not accept the revised Terms you may close your account before the effective date without penalty.

    13. General provisions

    13.1 Entire agreement

    These Terms, together with our Privacy Policy, Cookie Policy, and any additional written agreement between you and HIBS, constitute the entire agreement between the parties in relation to their subject matter and supersede all prior representations, agreements, and understandings.

    13.2 Severability

    If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

    13.3 Waiver

    Failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of that provision or of any other provision.

    13.4 Assignment

    You may not assign, transfer, or sub-contract any of your rights or obligations under these Terms without HIBS's prior written consent. HIBS may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided that the assignee assumes all obligations under these Terms.

    13.5 Electronic communications

    Communications between you and HIBS may be conducted electronically. You agree that electronic communications satisfy any legal requirement for written communication. Notices to HIBS should be sent to info@humanityinbusiness.com. Notices to you will be sent to the email address associated with your account.

    13.6 Language

    These Terms are written in English and shall be interpreted and construed in English. In the event of any translation, the English version prevails.

    14. Governing law and jurisdiction

    These Terms are governed by the laws of Bulgaria. Subject to the paragraph below, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Sofia, Bulgaria.

    Users located in the European Economic Area may also bring proceedings in the courts of their country of residence. Nothing in these Terms affects your rights as a consumer under the mandatory laws of your country of residence, where applicable.

    HIBS operates from Bulgaria and is also subject to Bulgarian law where applicable. For data protection matters, the supervisory authority is the Commission for Personal Data Protection of Bulgaria (cpdp.bg).

    These Terms and Conditions were last updated in March 2026 and supersede all previous versions including those dated December 8, 2025. They apply to humanityinbusiness.com and intelligence.humanityinbusiness.com. Registered users will be notified of material changes by email.
